Sanatana Resources Yukon Mining Project Deal with LIRECA

Sanatana Resources has signed a definitive agreement to acquire the Gold Strike Two property from LIRECA Resources, adding a pivotal asset to its growing Yukon mining project portfolio.

The acquisition grants Sanatana control over 293 quartz claims spanning approximately 59 square kilometers within the mineral-rich Mayo Mining District. The area encompasses a major portion of the Rogue Plutonic Complex, located in Canada’s highly prospective Tintina Gold Province.

Terms Strengthen Strategic Shift Toward Yukon

Under the agreement, Sanatana Resources will pay C$500,000 in cash—half on closing and half held in escrow for up to 90 days—and issue six million common shares to LIRECA. The property is subject to a 3% net smelter returns royalty, with options to reduce the burden to as low as 1%.

Closing the deal is conditional on approval from the TSX Venture Exchange, and a corporate rebranding to reflect Sanatana’s growing presence in the Yukon mining project landscape.

Strategic Foothold in the Rogue Plutonic Complex

The Gold Strike Two property situates Sanatana squarely in the Rogue Plutonic Complex, a geologically significant zone receiving renewed exploration interest after Snowline Gold Corp’s Valley discovery. The region, underlain by the Tombstone and Mayo plutonic suites, has seen an uptick in junior and mid-tier investment.

Soil and rock sampling completed in 2024 revealed anomalous concentrations of gold, arsenic, bismuth, and tungsten—indicators of potential intrusive-related gold systems. The proximity to Snowline’s Valley project provides an analogue for what might be unearthed with systematic drilling.

The Gold Strike Two acquisition is the latest move to position Sanatana as a relevant mid-tier player in this part of Canada, where the geological setting has drawn increasing interest from exploration companies. In 2024, geochemical sampling on the property returned anomalous results in gold, arsenic, bismuth, and tungsten—elements often associated with intrusive-related gold systems.

Aligning With a Proven Project Generator

LIRECA and Florin Resources, collectively known as the Florin Group, control five key properties in the region, including Gold Strike One, Florin Gold, FLR Gold, and RJ Gold. According to Sanatana CEO Peter Miles, the acquisition not only delivers a prized asset but initiates a broader relationship with a seasoned mineral property aggregator.

“The definitive agreement for Gold Strike Two establishes an important relationship with the Florin Group,” Miles said. “It positions Sanatana as one of the few publicly traded companies with a land position in the Rogue Plutonic Complex, an area that is rapidly gaining recognition.”

The Florin Group’s broader portfolio includes projects in British Columbia, Quebec, Newfoundland and Labrador, reinforcing its role as a key player in Canadian project origination.

Financing the Deal

To support the acquisition, Sanatana has announced two concurrent non-brokered private placements, targeting up to C$1.2 million. The company plans to sell as many as 12 million units at C$0.10 each. The raise, while modest, reflects confidence that the asset will unlock shareholder value, especially given current market sentiment around underexplored Canadian districts.

Outlook: Regional Relevance, Long-Term Leverage

For Sanatana, the Gold Strike Two acquisition is more than a property deal—it’s a recalibration of corporate strategy. The company’s deepening focus on Yukon, particularly the Rogue Plutonic Complex, aligns with a broader industry pivot toward previously overlooked segments of the Tintina Gold Province. With regional analogues delivering compelling results and growing institutional interest, Sanatana is positioning itself as a leveraged bet on frontier discovery.

As competition intensifies for jurisdictional exposure in geologically endowed districts, Sanatana’s early-stage consolidation play may prove prescient—provided exploration validates the potential inferred by 2024 sampling campaigns.
